FAROKHT – TERMS & CONDITIONS
Farokht (Farokht Tech Private Limited) operates the Farokht website, mobile application, and related services ("Platform"). By accessing or using the Platform, all users, including buyers, shoppers, brands, sellers, and creators, agree to be bound by these Terms & Conditions. If you do not agree to these Terms, you must not access or use the Platform.
1. Introduction
Farokht is a content-commerce platform that allows users to explore, interact with, and shop for products through videos, posts, and brand content. Farokht may utilize AI-powered technologies to enhance discovery and shopping experiences. These Terms govern all use of the Platform.
2. Eligibility and Account
Users must be at least 18 years old or use the Platform under parental supervision. Users are responsible for safeguarding account credentials and all activity under their account. Farokht may suspend or terminate accounts involved in suspicious, misleading, abusive, or fraudulent activity.
3. Nature of Platform
Farokht acts as an intermediary marketplace. Products listed are generally offered by third-party sellers unless explicitly stated otherwise. Transactions and delivery commitments are made between buyers and sellers. Farokht facilitates discovery, payments, and order processing, but is not the seller of third-party goods.
4. User Conduct
Users must not:
- Post illegal, defamatory, obscene, or misleading content
- Upload counterfeit or misrepresented products
- Engage in harassment, abuse, or impersonation
- Interfere with platform security or operations
Violations may result in suspension or permanent removal.
5. Content and Intellectual Property
Users retain ownership of uploaded content but grant Farokht a non-exclusive, royalty-free, worldwide license to use, display, modify, and distribute such content for operational and marketing purposes. Users warrant that the content does not infringe third-party rights. All Platform intellectual property belongs to Farokht Tech (Private) Limited.
6. Shopping, Payments, and Orders
When a shopper places an order, a direct contract is formed with the seller. Prices and delivery timelines are set by sellers. Farokht facilitates payments and processing, but does not guarantee seller performance unless Farokht is the direct seller.
7. Returns and Refunds
Returns and refunds are governed by the seller’s policy shown on the product page. Farokht facilitates communication but is not responsible for issuing refunds for third-party products unless required by law or where Farokht is the seller.
8. Brand Guidelines
Brands must list genuine products, disclose promotions, avoid fake engagement, and follow community standards. Violations may result in suspension or removal.
9. Privacy and Data Use
Use of the Platform is also governed by Farokht’s Privacy Policy. By using the Platform, users consent to data collection and processing as described therein.
10. Disclaimer
All services are provided "as is." Farokht disclaims liability for third-party products, delays, or losses except where required by law.
11. Termination
Farokht may suspend or terminate access for breach, misuse, fraud, or harm to platform integrity.
12. Changes to Terms
Farokht may update these Terms. Continued use constitutes acceptance of revised Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Islamic Republic of Pakistan. Disputes shall be subject to the exclusive jurisdiction of the competent courts of Pakistan.
14. Shopper Responsibilities & Platform Rules
14.1 Responsible Ordering
Repeated cancellations after shipment, refusal to accept delivered orders, or misuse of services may result in restrictions or suspension. Order reliability indicators may be visible to sellers.
14.2 Off-Platform Payments
Farokht is not liable for payments made directly to a seller’s personal account or outside the Platform. Such transactions void platform protection.
14.3 Off-Platform Orders & Communication
All orders, payments, reviews, and communications must remain within the Platform. Farokht is not responsible for disputes arising from WhatsApp, personal numbers, or external channels.
14.4 Communication Conduct
Abusive, threatening, or inappropriate language may result in suspension or permanent termination.
14.5 Fraud Monitoring
Farokht reserves the right to monitor transactions, restrict activity, and intervene in suspected fraud cases.

BRAND PARTICIPATION AGREEMENT
(Supplemental to Farokht Terms & Conditions)
This Agreement governs brands, sellers, and creators ("Partner") operating on Farokht.
1. Term & Renewal
1.1 Initial Term: Minimum participation term of twenty-four (24) months from onboarding.
1.2 Auto-Renewal: Automatically renews for successive twelve (12) month terms unless either party provides 30 days' written notice.
1.3 Early Termination by Partner: Early exit may result in suspension, forfeiture of unpaid earnings, and recovery of onboarding costs as determined by Farokht.
1.4 Termination by Farokht: Immediate termination for breach, fraud, misconduct, or policy violations.
2. Content Creation Obligations
- Minimum 1 original content piece per week
- No music-driven or trending audio content
- 30-day exclusivity window before reposting elsewhere
- Content must not disclose Farokht analytics or UI
- Farokht receives a perpetual, royalty-free content license.
3. Product Authenticity & Fulfilment
Partners warrant genuine, lawful, and accurately described products. Incorrect or fake products require a full refund and may result in enforcement.
4. Strike & Enforcement
- 1st Strike: Warning
- 2nd Strike: Suspension/visibility restriction
- 3rd Strike: Permanent termination
Farokht’s decisions are final.
5. Communication & Integrity
One designated focal person required. No off-platform transactions. Violations may result in immediate termination.
6. Brand Verification
Mandatory legal and tax verification. False information results in permanent removal.
7. Data Usage
Limited shopper insights may be used only for fulfilment, service improvement, and responsible retargeting. Misuse, resale, harassment, or unethical targeting constitutes a material breach.
8. Exit & Order Continuity
30-day written notice required. All pending orders must be fulfilled. Farokht may recover operational costs.
9. Indemnity
Partner indemnifies Farokht against product defects, IP violations, disputes, and regulatory claims.
10. Limitation of Liability
Farokht liability is capped at fees earned in the preceding six (6) months.
11. Platform Experimentation
No guarantee of reach or sales. Algorithms and features may change without notice.
12. Service Level Agreements (SLA)
- Dispatch within 48 hours (product dependent)
- Local delivery: 3–5 business days
- Intercity: 5–7 business days
- 24-hour response time
- Refund initiation within 3 business days
Timelines may be updated by Farokht.
13. Tracking & Transparency
Valid courier tracking required. Fake tracking constitutes fraud.
14. SLA Violations
Farokht may pause listings, freeze payouts, suspend, or permanently terminate accounts for repeated breaches.
15. Operational & Commercial Terms
15.1 Phased Enforcement: Full operational enforcement becomes effective three (3) months after onboarding, unless earlier applied for fraud or integrity concerns.
15.2 Fraud Intervention: Farokht may investigate fraud, freeze payouts, restrict accounts, and cooperate with lawful authorities.
15.3 Payment Terms: Online payments shall be settled on a weekly cycle, subject to order completion, dispute holds, fraud checks, and applicable adjustments. During the beta phase, online payment features may be limited or unavailable. Orders may be fulfilled through Cash on Delivery (COD) until digital payment integration becomes operational.
15.4 Platform Risk & Fraud Monitoring: Farokht reserves the right to monitor transactions, detect suspicious behavior, investigate misuse, limit platform privileges, pause listings, hold settlements, and take preventive or corrective action where fraud, abuse, manipulation, or risk to users or marketplace integrity is suspected. Farokht’s determination in such matters shall be final and binding.
16. Beta Operations Note
During the beta phase, certain platform features including automated fraud scoring, advanced dispute tooling, and behavioral tracking may be limited or partially manual. Farokht reserves the right to review, intervene, and make operational decisions manually to protect users and platform integrity.
17. Governing Law
This Agreement is governed by the laws of the Islamic Republic of Pakistan. Farokht is a platform operated by Farokht Tech (Pvt) Limited, a company incorporated under the laws of Pakistan.
